These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Aurora Video Productions ("Aurora Video," "we," "us," or "our") governing your access to and use of our video production services, website, and related content (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
We may amend these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after such posting constitutes your acceptance of the revised Terms. If you do not agree to the Terms, you must not use our Services.
Aurora Video Productions provides a range of video production services, including but not limited to:
Specific details of each service, including scope, deliverables, timelines, and pricing, will be outlined in a separate project agreement ("Agreement") between Aurora Video Productions and the Client. The Agreement will be considered an integral part of these Terms.
We reserve the right to modify or discontinue any aspect of the Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
All intellectual property rights in the Services, including but not limited to our website, logos, trademarks, and content (excluding Client-provided materials), are owned by Aurora Video Productions or our licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes, subject to these Terms.
Unless otherwise agreed in the Agreement, Aurora Video Productions retains ownership of all raw footage, work product, and derivative works created during the provision of the Services. Upon full payment of all fees due under the Agreement, the Client will be granted a license to use the final video product for the purposes specified in the Agreement.
Client warrants that they own or have the necessary licenses, rights, consents, and permissions to use any materials (including but not limited to images, music, and trademarks) provided to Aurora Video Productions for use in the Services. Client agrees to indemnify and hold Aurora Video Productions harmless from any claims, damages, or expenses arising from the use of Client-provided materials.
The fees for our Services will be outlined in the Agreement. Unless otherwise stated, all fees are quoted in U.S. dollars and are exclusive of applicable taxes. Payment terms will be specified in the Agreement.
Late payments may be subject to interest at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. Aurora Video Productions reserves the right to suspend or terminate the Services for non-payment of fees.
In the event of cancellation by the Client, cancellation fees may apply, as outlined in the Agreement.
Client agrees to cooperate with Aurora Video Productions in a timely and professional manner. This includes providing necessary information, materials, and approvals as requested. Client acknowledges that delays in providing such information may impact the project timeline and deliverables.
Client is responsible for obtaining any necessary permits, licenses, or releases required for the video shoot location(s). Client agrees to comply with all applicable laws and regulations in connection with the Services.
Client is responsible for reviewing and approving all drafts and deliverables provided by Aurora Video Productions. Client approval will be deemed final and binding.
Aurora Video Productions agrees to maintain the confidentiality of any confidential information provided by the Client. We will not disclose such information to any third party without the Client's prior written consent, except as required by law.
Client agrees to maintain the confidentiality of any proprietary information of Aurora Video Productions, including but not limited to our pricing, processes, and techniques.
To the fullest extent permitted by law, Aurora Video Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, arising out of or in connection with the Services, even if we have been advised of the possibility of such damages.
Our total liability to the Client for any claim arising out of or in connection with the Services shall not exceed the total amount paid by the Client to Aurora Video Productions under the Agreement.
Client agrees to indemnify and hold Aurora Video Productions and our affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any law or the rights of any third party.
Aurora Video Productions may terminate the Agreement and these Terms at any time if the Client breaches any provision of these Terms or the Agreement. Client may terminate the Agreement subject to the cancellation fees outlined therein.
Upon termination, Client shall immediately cease all use of the Services and return any confidential information of Aurora Video Productions.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
